Responsibilities
- Schedule and coordinate quarterly Board meetings and ad‑hoc sessions, while maintaining a master calendar for all fund Boards.
- Prepare and distribute comprehensive Board materials, including fund performance reports, SEC filings (Forms 10‑K, 10‑Q, 8‑K), compliance updates, risk assessments, and audit/valuation summaries.
- Maintain accurate and organized records of Board resolutions, minutes, and governance documents in accordance with SEC requirements.
- Collaborate with internal Legal, Compliance, Fund Finance, and Investor Relations teams to ensure all Board materials meet regulatory and organizational standards.
- Serve as the primary point of contact for Independent Directors, external counsel, auditors, and other stakeholders on Board‑related matters.
- Develop, refine, and maintain standard operating procedures (SOPs) for Board administration and governance workflows.
- Coordinate the formation and qualification of new fund entities and subsidiaries across required jurisdictions, and maintain all related organizational documents (charters, bylaws, operating agreements).
- Prepare and file state annual reports and franchise tax returns for fund entities, and track deadlines for SEC filings and state compliance obligations across multiple entities.
- Maintain minute books and governance records for all fund entities and Boards, ensuring proper execution, retention, and organization of resolutions, consents, and officer certifications.
- Maintain accurate ownership records and capitalization tables; support the issuance and transfer of interests in compliance with regulatory requirements.
- Monitor regulatory developments affecting registered funds and implement necessary governance updates. Assist with internal audits and compliance reviews related to entity governance.
- Prepare documentation for fund launches, mergers, liquidations, and reorganizations; support due diligence by providing accurate entity records and certifications.
- Coordinate with registered agents regarding service of process, compliance notices, and entity qualifications. Manage good‑standing status across multiple states.
- Develop governance checklists, compliance calendars, and process improvements to enhance efficiency and mitigate risk.
Qualifications
- 7–10 years of experience in a paralegal, corporate governance, or fund administration role within financial services, with direct experience supporting Board and entity governance.
- Strong expertise in entity formation, maintenance, and compliance filings across multiple jurisdictions.
- Familiarity with Exchange Act reporting (Forms 10‑K, 10‑Q), state annual reports, franchise tax returns, and governance requirements for registered funds.
- Deep understanding of organizational documents, including charters, bylaws, operating agreements, capitalization tables, and ownership structures.
- Experience preparing documentation for fund launches, mergers, liquidations, or reorganizations.
- Background supporting Boards and managing governance for registered funds (’34 Act or ’40 Act), including multi‑entity structures.
- Ability to coordinate with registered agents and manage entity qualifications and good‑standing status across multiple states.
- Proven ability to develop governance checklists, compliance calendars, and process improvements to enhance operational efficiency.
- Strong organizational skills with the ability to manage multiple Boards, entities, and deadlines in a fast‑paced environment.
- High attention to detail, strong judgment, and a proactive approach to regulatory changes and compliance monitoring.
