Job Title: Assistant General Counsel, Corporate & Securities
Location: New York, NY. Hybrid, 3 days per week in office.
About the Opportunity
A global, market leading beauty company is seeking an experienced corporate and securities lawyer to join its legal team in a highly visible role supporting enterprise governance, capital markets activity, and global corporate structure.
This is a senior individual contributor position within a sophisticated, international legal function, offering direct exposure to senior leadership and the opportunity to shape governance frameworks and strategic initiatives across a complex global business.
Responsibilities
Lead U.S. corporate governance and securities law matters, including:
- Disclosure obligations and public facing materials
- Investor communications
- Governance policies and compliance frameworks
Support public reporting processes, including:
- Proxy statement preparation
- Section 16 and related compliance
Advise on capital markets activity and strategic transactions, including:
- Financings
- Corporate restructuring initiatives.
Partner with cross functional stakeholders on equity compensation governance and compliance.
Support global entity management and corporate structure optimization across jurisdictions.
Oversee preparation and review of Board, shareholder, and subsidiary governance materials.
Drive best practices across governance tools, data rooms, and legal infrastructure.
Provide legal support to procurement and supply chain functions, including:
- Drafting and negotiating complex commercial agreements
- Advising on manufacturing and operational risk
Act as a senior legal partner to Finance, Tax, HR, and business leadership.
Experience
- Approximately 8–12 years of legal experience
- Background in corporate and securities law from a leading law firm; in house experience preferred
- Strong experience with corporate governance and disclosure, capital markets and financing transactions, and multinational or cross border legal matters
- Experience operating in a global, matrixed organization
- Exposure to procurement, supply chain, or commercial contracting is a plus
- Excellent drafting, negotiation, and stakeholder management skills
- Ability to manage multiple high priority workstreams in a fast-paced environment
Salary : $220,000 - $245,000
