Our client, a growing and well-regarded law firm, is seeking a highly skilled Business & Transactional Attorney to join our team. In this role, you will act as a strategic advisor to our clients, managing a wide range of corporate matters and facilitating complex transactions from inception to closing. You will be responsible for drafting high-stakes agreements, conducting due diligence, and ensuring regulatory compliance across various industries.
Key Responsibilities
- Contract Drafting & Negotiation: Design, review, and negotiate various commercial agreements, including Master Services Agreements (MSAs), licensing deals, vendor contracts, and non-disclosure agreements (NDAs).
- Entity Formation & Governance: Advise clients on entity selection (LLC, S-Corp, C-Corp) and draft foundational documents like operating agreements, bylaws, and shareholder agreements.
- Mergers & Acquisitions (M&A): Lead transactional deals including asset purchases, stock transfers, and business reorganizations, managing everything from letters of intent to final closing.
- Due Diligence: Conduct thorough legal and risk assessments for potential partnerships and acquisitions, uncovering hidden liabilities and providing mitigation strategies.
- Regulatory Compliance: Ensure client operations adhere to local, state, and federal laws, including corporate governance and industry-specific regulations.
- Strategic Advisory: Serve as "outside general counsel," providing proactive legal advice that aligns with the client’s broader business objectives and financial goals.
Required Qualifications
- Education: Juris Doctor (J.D.) degree from an accredited law school.
- Licensure: Active and in-good-standing license to practice law in Ohio.
- Experience: [3–7 ] years of dedicated experience in transactional law, corporate law, or M&A.
- Core Skills: Exceptional contract drafting, meticulous attention to detail, and a proven track record of successful high-value negotiations.
- Business Acumen: Ability to translate complex legal concepts into practical, actionable business advice.
