M&A Associate – Financial Due Diligence (Quality of Earnings)

Compensation: Up to $150,000 Base Bonus Comprehensive Benefits
Our client is seeking a highly analytical M&A Associate with Financial Due Diligence (FDD) and Quality of Earnings (QofE) experience to join a growing transaction advisory team. This is an excellent opportunity to work on complex middle-market and lower middle-market transactions, partnering with private equity firms, strategic acquirers, and business owners throughout the deal lifecycle.
The ideal candidate will bring strong transaction experience, financial modeling expertise, and the ability to turn complex financial data into actionable insights.
Key Responsibilities
- Perform Quality of Earnings (QofE) analyses and financial due diligence for buy-side and sell-side transactions
- Analyze financial statements, working capital trends, EBITDA adjustments, cash flow drivers, and key operating metrics
- Build and maintain sophisticated financial models, including:
- Discounted Cash Flow (DCF) valuations
- Leveraged Buyout (LBO) models
- Internal Rate of Return (IRR) analyses
- Scenario and sensitivity analyses
- Evaluate financial, operational, and customer data to identify trends, risks, and value creation opportunities
- Conduct market and industry research to support transaction recommendations and strategic decision-making
- Assist in the preparation of:
- Investment memoranda
- Management presentations
- Confidential Information Memorandums (CIMs)
- Teasers
- Executive-level client deliverables
- Support transaction execution and project management activities, including virtual data room administration
- Collaborate directly with clients, attorneys, lenders, private equity sponsors, and internal deal teams
Qualifications
- 2 years of experience in one or more of the following:
- Financial Due Diligence (FDD)
- Transaction Advisory Services (TAS)
- Mergers & Acquisitions
- Investment Banking
- Transaction-focused public accounting
- Hands-on Quality of Earnings (QofE) experience strongly preferred
- CPA preferred
- MBA is a plus
- Advanced Excel and financial modeling capabilities
- Strong understanding of:
- EBITDA adjustments
- Working capital analyses
- Cash flow analysis
- Financial statement review
- Experience with Capital IQ, PitchBook, or similar research platforms is a plus
- Exceptional analytical, communication, and organizational skills
- Ability to manage multiple engagements in a fast-paced transaction environment
Salary : $120,000 - $150,000
