Job Overview

Our client, an Am Law 50 firm and one of the top 100 law firms in the U.S., is seeking a Corporate Associate Attorney – Mergers & Acquisitions with 3–6 years of experience to join its nationally recognized Corporate Practice Group. This role offers the opportunity to advise public and private companies, private equity funds, and financial institutions on sophisticated mergers and acquisitions, corporate governance, and a broad range of general corporate and commercial matters. The ideal candidate will have experience leading due diligence efforts, drafting and negotiating transaction documents, and managing complex transactions in a collaborative, fast-paced environment.

Key Responsibilities

• Represent public and private companies, private equity funds, and financial institutions in mergers and acquisitions and general corporate transactions.
• Draft, review, and negotiate purchase agreements, merger agreements, disclosure schedules, ancillary transaction documents, and other commercial agreements.
• Lead and manage legal due diligence for M&A transactions.
• Coordinate with specialists and cross-functional teams throughout the transaction lifecycle.
• Assist clients with corporate governance, entity formation, restructurings, and other general corporate matters.
• Prepare and review transaction documents and closing deliverables.
• Manage multiple transactions simultaneously while providing practical legal advice.
• Collaborate closely with partners and clients on complex domestic and cross-border transactions.

Qualifications

• J.D. from an ABA-accredited law school.
• Active bar admission in the state where applying or eligibility to waive in.
• 3–6 years of corporate law experience with a strong focus on mergers and acquisitions.
• 3–6 years' Experience with law firm is required
• Experience handling sophisticated M&A and general corporate transactions.
• Demonstrated experience leading due diligence teams and managing specialists.
• Strong drafting and negotiation skills for transaction documents.
• Excellent analytical, communication, and legal writing skills.
• Ability to manage multiple assignments independently in a fast-paced environment.
