Sheppard, Mullin, Richter, and Hampton LLP, a global Am Law 50 firm, has an opening for Corporate Transactional Paralegal in our San Francisco office.
Sheppard Mullin is seeking an experienced and detail-oriented Corporate Transactional Paralegal to support attorneys in our Corporate and Securities practice group. The ideal candidate will take a lead role in due diligence, closing processes, fact investigation, and collaborating with external vendors to help ensure efficient, accurate transactions. This position requires strong technical, organizational, and administrative skills to manage multiple projects in a fast-paced, high-pressure environment. Prioritization, flexibility, and meticulous review of all work are essential.
Primary Responsibilities and Expectations
- Lead and manage due diligence activities including conducting UCC, litigation, and intellectual property searches, and reviewing results.
- Oversee corporate governance and entity management functions, from preparing and filing documents for entity formation and amendments to ensuring compliance with regulations such as the Corporate Transparency Act.
- Administer entity and stock records on platforms such as Carta, Fidelity, and Global Shares.
- Support securities and Blue Sky filings, assist with securities registration, and manage documentation for equity transactions.
- Coordinate all aspects of closing processes, including preparing collateral descriptions, UCC filings, execution of closing documents, and post-closing administration.
- Collaborate closely with internal teams and external vendors, maintaining strict confidentiality and adherence to firm standards.
Required Qualifications:
- A minimum of 8-10 years of transactional paralegal experience in a law firm or in-house counsel is preferable.
- Strong project management skills with the ability to independently oversee tasks, ensuring timely completion and adherence to project deadlines.
- Ability to manage multiple projects with shifting priorities while working efficiently in a fast-paced environment.
- Experience with diligence search parameters.
- Knowledge and experience with vendor UCC filing platforms and e-filing.
- Excellent spelling, grammar, and punctuation skills.
- Ability to work overtime, evenings, and weekends, as needed.
Education and/or Experience
A high school diploma or equivalent is required, plus substantial and relevant work experience. A bachelor's degree is preferred.
License and Certification
An ABA-approved paralegal certification is required.
Computer/Software Knowledge
Must have proficiency in Windows 10, Microsoft Outlook, Excel, PowerPoint, Adobe Acrobat Professional, Zoom, and Teams. Must be able to quickly learn new skills and systems.
Work Environment
- The current Firm policy is hybrid–working in the office a minimum of 3 days per week and working from home the rest of the week (subject to change).
- Overtime may be required as the job duties demand.

California: The pay range for this position is $53.00 to $86.00 per hour.
