VP of Corporate Development & Capital Raising
Role Type: Executive Leadership — Phase 1: Performance-Aligned / Sweat Equity, transitioning to Full-Time upon funding

Position Overview
We are seeking a proven deal-closer with deep financial acumen and investor-network fluency to lead our capital formation strategy over the next 6–12 months. This executive will own the full fundraising lifecycle—from refining materials and building a targeted investor pipeline to leading outreach, managing diligence, negotiating term sheets, and closing the round.
This role is hands-on, fast-moving, and directly partnered with the Founder & CEO. You will be responsible for ensuring our materials, messaging, and investor engagement are airtight and optimized for successful capital deployment.
6–12 Month Execution Roadmap
Months 1–2: Material Optimization & Pipeline Build
• Audit and refine financial models, unit economics, business plan, and pitch deck.
• Build a structured CRM and identify 40–60 high-priority investors aligned with our industry, thesis, and stage.
• Establish a secure, organized data room for diligence readiness.
Months 3–6: Outreach & Pitch Execution
• Execute daily outreach to VCs, family offices, strategic funds, and non-dilutive capital sources.
• Secure meetings and co-lead investor pitches with the CEO and executive team.
• Tailor narrative positioning to match investor theses and sector expectations.
Months 6–12: Due Diligence & Closing
• Manage investor Q&A, data room access, and diligence workflows.
• Drive term-sheet negotiations and coordinate legal processes through close.
• Ensure capital transfer and round completion on schedule.
Key Responsibilities
1. Financial & Pitch Readiness
• Stress-test and refine CAC, LTV, payback period, utilization rates, and all core unit economics.
• Strengthen financial models and ROI projections for investor scrutiny.
• Customize pitch decks and messaging for specific investor profiles.
• Maintain a secure, organized data room.
2. Investor Pipeline & Outreach
• Build and manage a real-time CRM tracking all investor interactions.
• Generate qualified interest and secure pitch meetings with institutional, private equity, family office, and strategic investors.
• Conduct thesis-alignment screening to prioritize high-conviction targets.
3. Deal Strategy & Negotiation
• Prepare leadership for investor meetings, Q&A, and follow-up cycles.
• Lead structured follow-up cadences to move investors through the pipeline.
• Support evaluation of deal terms, negotiate term sheets, and drive closing processes.
Candidate Qualifications
• Proven Capital Raising Experience: Direct involvement in raising and closing $1M rounds in VC, PE, or growth capital environments.
• Deal-Making Background: Investment Banking, Venture Capital, Corporate Development, or startup fundraising experience required.
• Financial Mastery: Ability to present, defend, and optimize complex financial models and startup metrics.
• Full Deal-Lifecycle Capability: Demonstrated success managing outreach, diligence, data rooms, negotiations, and closing.
• Communication & Accountability: Operates with transparency, keeps leadership continuously informed, and maintains daily CRM accuracy.
