About the Role As a member of the Business Transactions & Corporate Law Practice Group, you will work closely with partners and senior attorneys on a wide range of corporate and transactional matters, representing businesses ranging from emerging companies to established enterprises across various industries.
Key Responsibilities
- Draft, review, and negotiate a variety of commercial contracts, including purchase agreements, operating agreements, shareholder agreements, and joint venture agreements
- Advise clients on general corporate governance, entity formation, and business structuring
- Assist with mergers, acquisitions, and other complex business transactions
- Conduct due diligence and manage transaction timelines
- Provide ongoing corporate counsel to a diverse client base
- Draft and review NDAs, licensing agreements, and other commercial contracts
- Collaborate with attorneys across practice groups including real estate, employment, and litigation
- Stay current on developments in corporate law and regulations affecting clients
Qualifications
- 3 years of corporate and/or transactional experience at a law firm
- Active California Bar admission required
- Strong transactional drafting and negotiation skills
- Excellent legal writing, research, and analytical skills
- Strong verbal and written communication skills with clients and colleagues
- Proficiency in Microsoft Office (Word, Outlook, Excel) and legal research platforms
- Exceptional organizational skills with the ability to manage multiple transactions simultaneously
- Must be able to pass a background check
