Position Summary:
We are seeking a detail-oriented and highly organized Corporate Real Estate Paralegal to support legal and transactional matters related to real estate investments, acquisitions, dispositions, leasing, and financing. This role will work closely with the General Counsel, internal stakeholders, and external partners to manage entity structures, prepare transaction documents, and coordinate complex real estate closings.
Responsibilities:
Corporate & General Legal
- Maintain and track corporate structure, ensuring proper documentation of ownership, authority, and governance
- Manage execution of documents, including tracking signature authority and ensuring proper authorization
- Maintain organized digital and physical filing systems for entity records and transaction documents
- Format, proofread, and finalize legal documents with a high level of accuracy
- Conduct due diligence, including review of title commitments, surveys, organizational documents, and zoning materials
- Liaise with title companies, lenders, outside counsel, tenants, and vendors
- Track critical dates, deadlines, and deliverables across multiple transactions
- Assist with post-closing matters, including recordings and document distribution
Legal (Title & Survey)
- Assist the General Counsel in reviewing title exception documents, identifying issues, and drafting title memoranda and title objection letters
- Assist the General Counsel in reviewing surveys and drafting revisions
Loans & Purchase and Sale Transactions
- Work with the General Counsel to prepare closing checklists and closing instructions
- Review transaction documents for completeness, including missing information and exhibits
- Prepare first drafts of agreements incorporating LOI terms, as well as amendments and related real estate documents
- Review judgment and lien searches under the guidance of the General Counsel
- Complete documents and assemble exhibits for closing
- Assist in coordinating the preparation of settlement statements
- Participate in checklist calls and transaction updates
- Coordinate closing logistics for acquisitions, dispositions, and loan transactions
- Assemble and manage closing binders and signature packages
Required Knowledge & Experience:
- Strong understanding of entity/corporate structure, governance, and authority
- Familiarity with real estate transaction documents, including:
- Purchase and Sale Agreements
- Deeds, assignments, and bills of sale
- Commercial loan documents and closing signature packages
- Knowledge of signing authority and execution processes
- Experience supporting complex real estate closings
Qualifications:
- Bachelor’s Degree required.
- Paralegal certificate from an accredited program
- Minimum of 3 years of general full-time work experience
- Minimum of 2 years of full-time paralegal experience in a transactional practice
- Strong organizational skills with the ability to prioritize and multi-task
- Advanced proficiency in Microsoft Office Suite (Word, Excel, Outlook)
- Ability to communicate effectively and professionally, both written and verbal, with internal teams and external parties
- Ability to work independently with minimal supervision
- Ability to thrive in a fast-paced, entrepreneurial environment
- Strong work ethic and attention to detail
