Position Overview
The Tax Manager will play a key role in managing and coordinating the tax function across the REIT and its subsidiaries. This individual will oversee tax compliance, support strategic tax planning initiatives, and assist with tax structuring for transactions and corporate initiatives.
This role requires strong technical expertise in partnership taxation and real estate investment structures, as well as the ability to partner with internal teams and external advisors to ensure compliance, efficiency, and strategic alignment across the organization.
Key Responsibilities
REIT Compliance & Qualification
- Oversee ongoing REIT qualification testing and compliance monitoring
- Ensure the organization maintains compliance with applicable REIT income, asset, and distribution requirements
- Support tax planning initiatives related to REIT qualification and structural efficiency
- Monitor regulatory developments impacting REIT taxation and advise leadership on potential implications
Partnership & Entity Structure Oversight
- Manage tax matters related to complex partnership structures and multi-tier investment vehicles
- Review partnership allocations, capital account maintenance, and distribution waterfalls
- Assist with structuring considerations for joint ventures and investment partnerships
- Coordinate with legal and finance teams on entity formation, restructuring, and operational tax matters
Tax Compliance & Advisor Management
- Coordinate with external tax advisors in the preparation and review of federal, state, and local tax returns, including:
- REIT tax filings
- Partnership tax returns
- Corporate tax returns for TRS entities
- Review tax filings to ensure accuracy, completeness, and compliance with applicable regulations
- Monitor tax filing deadlines and ensure timely completion of all required filings
- Identify opportunities to improve internal tax processes and reporting efficiency
Strategic Tax Planning
- Develop and implement tax strategies designed to minimize overall tax exposure while maintaining compliance
- Evaluate tax implications of financing transactions, capital events, and corporate initiatives
- Identify opportunities for tax-efficient structuring across the REIT and TRS entities
- Support senior leadership with tax analysis related to strategic business decisions
Transaction & Investment Support
- Lead tax due diligence for potential acquisitions and investments
- Support tax structuring for property dispositions and capital events
- Analyze tax implications of new investments, joint ventures, and financing arrangements
- Coordinate with external advisors on transaction-related tax planning and structuring
Taxable REIT Subsidiary (TRS) Oversight
- Manage tax matters related to the firm’s Taxable REIT Subsidiaries
- Review quarterly tax provisions and GAAP tax reporting
- Monitor intercompany transactions and service allocations
- Address transfer pricing considerations where applicable
- Track tax credits and support annual overhead surveys
Risk Management, Controls & Audit Support
- Assist with federal and state tax audits and respond to tax authority inquiries
- Maintain strong internal controls related to tax reporting and compliance
- Monitor changes in tax laws and regulations that may impact the organization
- Support the development and documentation of tax policies and procedures
