The following position is to join our RTX Corporate, Enterprise Services, Research Center or BBN team:
The Corporate Governance Paralegal will bring their significant expertise in corporate governance matters; they possess strong organizational, drafting and interpersonal skills. This role will perform corporate governance actions to maintain 45 RTX holding companies worldwide in good standing and will provide paralegal support for corporate holding company transactions
Primary Responsibilities:
- Support RTX’s attorneys and paralegals with Corporate restructuring transactions.
- Support preparation of corporate governance documents, including resolutions, meeting minutes, powers of attorney and related documents.
- Communicate with third parties including outside counsel and directors regarding holding company meetings and transactions.
- Schedule board meetings and briefings.
- Coordinate, manage and confirm document execution by multiple parties in multiple jurisdictions.
- Support corporate governance requests from Business Units, including requests for shareholder resolutions, proxies, powers of attorney, certificates, statements of ownership and related documentation for RTX’s holding companies.
- Manage RTX’s legal entity database system including ensuring that holding company governance information is accurate and complete
Required Qualifications:
- AA/AS degree (or other 2-year post high school training) with a minimum of 8 years relevant experience
- Knowledge of corporate legal terminology, principles and documents particularly in the area of corporate governance.
- Ability to review, evaluate and draft legal documents and correspondence.
- Strong document management organizational skills, attention to detail and willingness to take initiative.
- Excellent interpersonal and communication skills with the ability to work with executives and in a team-oriented environment.
- Must be a US Citizen / US Person 'Green Card' holder.
Preferred Qualifications:
- Willing to work hybrid from Farmington, CT.
