Our client, nationally recognized and prestigious law firm, seeks a counsel-level Business Transactional Tax attorney to join its thriving Business Group Division. The ideal candidate should have at least 10 years of relevant corporate & transactional tax experience and serve as a trusted advisor for internal and external firm clients.
RESPONSIBILITIES:
Our client, nationally recognized and prestigious law firm, seeks a counsel-level Business Transactional Tax attorney to join its thriving Business Group Division. The ideal candidate should have at least 10 years of relevant corporate & transactional tax experience and serve as a trusted advisor for internal and external firm clients.
RESPONSIBILITIES:
- Advise on tax-efficient structures for mergers, acquisitions, dispositions, and reorganizations.
- Draft tax-sharing agreements, LLC agreements, and partnership agreements.
- Provide counsel on partnership tax, international tax, and compensation tax issues.
- Represent clients before the IRS and state taxing authorities, including obtaining private letter rulings.
- Analyzing material tax implications in mid-market and large-scale deals.
- Must have at least 10 years of relevant corporate & transactional tax experience preferably in a large law firm setting.
- Juris Doctor (J.D.) degree from an ABA-approved law school.
- Active Bar Membership in Good Standing within the State where Role is Located.
- Deep understanding of the Internal Revenue Code (IRC), Treasury regulations, and case law.
Salary : $400,000 - $550,000
