Key Responsibilities of the Corporate Paralegal:
- Support a high-performing legal team: Work directly with partners and associates to assist with corporate legal matters.
- Corporate Filings & Entity Formation: Draft and file documents for corporate formations, including handling entity searches, lien checks, and litigation searches.
- Due Diligence & Legal Agreements: Assist with due diligence, drafting agreements, certificates, and key transaction documents for corporate transactions.
- Manage Legal Filings: Prepare, file, and track UCC filings, ensuring compliance with all legal requirements.
- Real Property & Foreclosure Documents: Analyze property history and prepare recorded instruments, such as deeds, affidavits, and trust deeds.
- Mentorship & Peer Training: Share your knowledge and provide mentorship to junior paralegals and legal assistants, helping the team grow.
- Estate Planning & Nonprofit Filings: Assist with filings for nonprofits, such as 501(c)(3) exemptions and charitable solicitations.
Who You Are as a Corporate Paralegal:
- Required Experience: You bring 5 to 7 years of paralegal experience, ideally in corporate law or related fields.
- Educational Background: A bachelor’s degree in a relevant field (paralegal studies, legal studies, business studies, etc.) is required; paralegal certification is a plus.
- Legal Expertise: You’re well-versed in corporate filings, legal terminology, and document management.
- Required Technical Experience: You have experience with lien and litigation searches such as: people, entity, UCC, State and Federal tax lien searches.
- Preferred Technical Expertise: You have experience in various areas: entity formation, UCC filings, transactional closings (such as Mergers & Acquisitions), and handling real estate matters.
- Tech-Savvy: You’re proficient in Microsoft Office Suite (Word, Excel, Outlook), and familiar with legal research tools like Westlaw and Tracers.
- Detail-oriented: You have a keen eye for detail, with excellent proofreading and organizational skills.
