Position: Venture Funds Paralegal
Key Responsibilities
Fund Formation & Structuring
- Assist with drafting, reviewing, and organizing fund formation documents, investor agreements, and ancillary legal filings.
- Manage closing checklists for fund launches and side letter agreements.
- Coordinate with outside counsel and internal stakeholders on entity formations and governance matters.
Investor Relations & Compliance
- Maintain investor records, subscription agreements, and capital call documentation.
- Assist in the preparation and filing of regulatory and compliance reports (e.g., SEC Form D, Blue Sky filings).
- Support compliance with AML/KYC requirements and investor due diligence.
Transaction Support
- Manage documentation for portfolio company investments, including NDAs, financing agreements, and corporate filings.
- Maintain closing binders and transaction records.
- Coordinate with investment teams to track deal documents and execution timelines.
Corporate Governance & Recordkeeping
- Prepare board and shareholder consents, minutes, and resolutions.
- Maintain corporate books and records for funds and related entities.
- Track filing deadlines, annual reports, and statutory requirements across jurisdictions.
General Legal Support
- Provide paralegal support to in-house counsel and investment professionals.
- Assist with contract review and basic drafting of agreements.
- Manage document databases and ensure version control across legal files.
Qualifications
- Bachelor’s degree required; Paralegal certification or equivalent experience strongly preferred.
- 3–5 years of paralegal experience, ideally in venture capital, private equity, or corporate law.
- Strong understanding of fund structures, investment documentation, and regulatory filings.
