Our client is looking for two Capital Markets Associates with 4 years of experience to join their rapidly growing practice group within an AmLaw 200 firm.
We're seeking a dynamic attorney eager to take on significant responsibility, run deals from start to finish, and pursue a clear, accelerated path to partnership. This is a critical hire to support the expanding client base, driven by a practice group leader who grew his book of business from $3M to $20M in just six years.
What will you be doing?
- Drafting and reviewing registration statements, prospectuses, and offering documents for debt and equity offerings.
- Preparing and filing SEC periodic reports (10-K, 10-Q, 8-K, proxy statements).
- Managing the full due diligence process for capital markets transactions.
- Advising a diverse client base, from mid-cap issuers to investment banks, on corporate governance and SEC compliance.
- Running deals from initiation to closing with significant autonomy and direct partner mentorship.
What we're looking for:
- NY or MA-barred attorney with 4 years of experience in capital markets law either within a large firm or a reputable boutique
- Strong understanding of SEC reporting and transactions, such as initial public offerings (IPOs), secondary public offerings, venture capital investments, private placements of securities, strategic partnerships, and joint ventures.
