Position Overview
The Paralegal will support attorneys in all phases of corporate and securities transactions. This role requires strong attention to detail, the ability to manage multiple priorities, and experience handling complex legal documentation and filings.
Key Responsibilities
- Prepare and file corporate and LLC organizational and governance documents
- Assist with EIN applications and SEC Form ID (EDGAR) filings
- Prepare signature packets, closing documents, and closing binders for transactions
- Obtain good standing certificates, DBA filings, and conduct corporate lien searches
- Assist with audit response letters
- Format, edit, and prepare complex legal documents and presentations using Microsoft Office
- Convert and manage document formats, including PDF processing
- Provide general administrative and project support to the Corporate & Securities team
Qualifications & Experience
- 5 years of experience as a paralegal in a corporate and securities environment
- Certified Paralegal designation preferred (not required)
- Strong knowledge of SEC filings, including Forms S-1, F-1, 10-K, 10-Q, and 8-K
- Experience tracking and billing time
- Highly proficient in Microsoft Office (Word, Excel, PowerPoint) and Adobe
- Strong written and verbal communication skills
- Excellent attention to detail and organizational abilities
- Ability to handle confidential information with discretion
- Self-motivated with the ability to work both independently and collaboratively
- Proven ability to manage multiple projects and meet deadlines in a fast-paced environment
- Notary certification required (or willingness to obtain)
Preferred Experience
- Westlaw research experience
- Experience with Form D filings
- Knowledge of Blue Sky filings and state-level securities requirements
