Commercial Manager (Contracts & Proposals)
Overview
We are seeking a highly motivated, detail-oriented Commercial Manager (Contracts & Proposals) to support our growing enterprise software business. This is a cross-functional role that sits at the intersection of Sales, Legal, Finance, and Delivery, owning the end-to-end commercial process—from proposals and pricing to contract negotiation and invoicing accuracy.
This role is ideal for a proactive, high-agency individual who thrives in a fast-paced environment and can operate independently while coordinating across multiple teams.
Key Responsibilities
1. Contracts & Legal (50%)
- Lead negotiation of MSA, licensing agreements, and SOWs with customers
- Perform initial contract review, redlining, and revisions
- Compare contract versions throughout negotiations and summarize key changes
- Partner closely with external/internal legal counsel
- Review SOWs to ensure alignment with legal and commercial terms
- Manage NDAs, vendor agreements, leases, and other contracts
- Review and validate POs and order documents for accuracy and consistency
- Handle insurance requirements and certificates
2. Commercial Operations (20%)
- Review invoices for accuracy and compliance (quality control function)
- Act as a bridge between Legal, Finance, Client Services, and Delivery teams
- Extract and translate key terms from contracts/POs into actionable items
- Support Accounts Receivable (AR) processes and customer communication
- Manage and review Change Orders (COs)
3. Proposals & Deal Support (30%)
- Lead proposal development, including pricing and structuring
- Conduct customer-facing discovery related to proposals and pricing
- Ensure pricing consistency and discount governance
- Prepare updated quotes based on evolving deal requirements
- Manage RFP/RFX responses, including security questionnaires
- Maintain and manage customer vendor portals
- Leverage past proposals to build and refine new proposals
- Support customer presentations of proposals
- Own GSA schedule management, amendments, and reporting
Qualifications
- 3–5 years of experience in an enterprise software company (20–50 employees preferred)
- Background in one or more of the following:
- Commercial / Deal Desk / Contracts Management
- Paralegal or legal support in software/services
- Technical Procurement Specialist
- Strong experience with:
- MSA, SOW, licensing agreements, and contract negotiations
- Proposal development and pricing in enterprise environments
- Ability to work cross-functionally across Sales, Legal, Finance, and Delivery
- Excellent attention to detail with strong organizational skills
- Comfortable interacting directly with customers
- High ownership mindset with a “go-getter” attitude
Nice to Have
- Experience with RFP/RFX processes and vendor portals
- Familiarity with enterprise software products and services
- Exposure to GSA contracts and reporting
