Role Description This is a part-time, on-site Corporate Paralegal role based in Miami, FL. The Corporate Paralegal will support attorneys in corporate, VC, M&A and general business matters, including forming entities, preparing corporate records, and managing closing checklists. Daily responsibilities include drafting and proofreading corporate documents and agreements, organizing signature packages, coordinating filings, and maintaining organized digital and physical files. The Corporate Paralegal will regularly communicate with attorneys, clients, and third parties to gather information, track deadlines, and support smooth execution of transactions in a fast-paced environment.
Qualifications
- Basic foundation in Law with experience supporting corporate, transactional, or real estate practices.
- Experience in Legal Documents preparation, including entity formation documents, resolutions, consents, and closing deliverables.
- Good communication skills, with the ability to interact professionally with attorneys, clients, and external parties.
- Solid research abilities, including legal and factual research using online databases and public records.
- Detail-oriented document review skills to ensure accuracy, consistency, and compliance with firm and client requirements.
- Strong organizational and time-management skills, with the ability to manage multiple matters and deadlines.
- Comfort with legal technology and document management systems; proficiency with Microsoft Office (Word, Excel, Outlook).
- Fluency in Spanish is a plus.
