About the Role

As a Paralegal at New Tradition, you will provide critical support to our legal team and the broader business, as we help drive New Tradition’s continued growth. This is a highly collaborative role where you’ll partner closely with the General Counsel and cross-functional stakeholders to build scalable processes that keep the business moving forward. You’ll play a key role by owning our contract repository and contract management process (including helping to finalize the implementation of our CLM), drafting and negotiating standard commercial agreements, managing our US-based entities, and assisting with corporate governance and internal policies, IP portfolio management, lease compliance, insurance and risk mitigation, employee lifecycle documentation, M&A and, as needed, litigation. The right candidate is a dynamic, adaptable self-starter who communicates effectively across all levels of the organization, brings creative problem-solving to new challenges, and is comfortable working independently while supporting a solo General Counsel.

What You’ll Do

Contract Management, Records Retention and Procurement/Vendor Management

  • Assist with finalizing the implementation of New Tradition’s CLM/contract repository (Summize) and partner with the General Counsel to launch additional functionality (self-service agreement generation, automated workflows, approvals, etc.)
  • Manage contract intake, execution, and storage, including partnering closely with the real estate team to ensure lease files are complete, current, and well-maintained
  • Prepare, review, and negotiate standard commercial agreements using approved templates and playbooks, including NDAs, advertising terms and conditions, and vendor MSAs
  • Develop and manage a process for tracking key contract dates and flagging deadlines proactively
  • Own the legal department's document repository, including policies, employee files, governance documents, templates, and executed agreements outside the CLM
  • Assist with vendor onboarding documentation and contract administration

Compliance, Corporate Governance and HR Support

  • Track and maintain compliance with contractual obligations for material contracts (primarily lease agreements), including legal, operational, reporting, insurance and other requirements
  • Assist with preparation and maintenance of governance documents and corporate records
  • Maintain and manage corporate entity records, organizational documents, good standing and annual report filings, and business licenses across all jurisdictions
  • Partner with the General Counsel and Chief Human Resources Officer to prepare and manage employee lifecycle documentation and to manage employee files
  • Support internal investigations and external audits, as needed

Litigation, IP & Outside Counsel Management

  • Manage document hold and preservation notice processes
  • Coordinate with outside counsel on active litigation matters, including document collection, discovery support, matter tracking, and budget management.
  • Track and manage the company's trademark portfolio, including renewal deadlines and registration status
  • Assist with reviewing and approving advertiser copy for legal compliance
  • Review outside counsel invoices; partner with Finance to track legal spend against budget

How You'll Measure Success

  • Delivering consistently accurate, detail-oriented work across a wide range of legal and operational tasks
  • Building strong relationships with internal stakeholders and becoming a trusted partner across the business
  • Improving efficiency by contributing to scalable processes, systems, and documentation
  • Exercising sound judgment, including knowing when to escalate issues or seek guidance from the General Counsel
  • Managing multiple priorities and deadlines without sacrificing quality

What You'll Bring

Required

  • 3-5 years of experience as an in-house paralegal, legal operations professional, or contract manager
  • Excellent written and verbal communication skills, with the ability to work effectively with both legal and non-legal stakeholders at all levels
  • Exceptional organizational skills with the ability to manage multiple projects and shifting priorities in a fast-paced environment
  • A proactive, ownership-driven mindset with a willingness to take initiative, navigate ambiguity, and improve processes
  • Hands-on experience with a CLM/contract management platform
  • Strong drafting, negotiation, and document preparation skills
  • Sound judgment, discretion, and a high level of integrity in handling confidential information
  • Proficiency with Microsoft Office Suite, Google Suite, Slack and other standard business tools
  • Bachelor's degree

Preferred

  • Paralegal certificate from an ABA-approved program
  • Commissioned notary public (or willingness to obtain)
  • Experience with entity management and corporate governance
  • Familiarity with lease administration or real estate contract management
