We are seeking a detail-oriented Paralegal w/ expertise to support the legal and commercial contracts function by reviewing, negotiating, and administering a broad range of commercial agreements. This individual will work closely with internal legal counsel, business stakeholders, and external clients to facilitate contract execution, manage contract-related risks, and provide day-to-day support across the contract lifecycle. The ideal candidate has strong contract review and negotiation experience, excellent communication skills, and the ability to manage multiple priorities in a fast-paced, client-facing environment.
*Would prefer candidates in and around the Pittsburgh, PA area but are open to the right remote candidate*
Key Responsibilities
Contract Review & Redlining
- Review, analyze, and redline a variety of commercial agreements to ensure compliance with company policies, legal requirements, and business objectives.
- Identify contractual risks and propose revisions to mitigate legal, financial, and operational exposure.
- Review contract terms related to liability, indemnification, confidentiality, intellectual property, payment terms, insurance, and termination provisions.
- Maintain version control and document revisions throughout the negotiation process.

Contract Negotiation
- Participate in contract discussions and negotiations with internal legal counsel, clients, vendors, and external counsel.
- Support the negotiation of commercial terms while balancing business objectives and risk management considerations.
- Prepare negotiation summaries and document key contractual issues and resolutions.
- Escalate complex legal or commercial issues to senior legal leadership when appropriate.
Contract Administration
- Provide day-to-day support to the contracts team across a diverse portfolio of agreements.
- Track contract status, approvals, execution timelines, renewals, and key contractual obligations.
- Coordinate contract execution and maintain organized contract files and repositories.
- Ensure contract documentation is complete, accurate, and properly archived.
Cross-Functional Collaboration
- Partner with Legal, Procurement, Sales, Finance, Operations, and business stakeholders to facilitate timely contract execution.
- Respond to internal requests regarding contract interpretation and status.
- Support business teams in understanding contractual obligations and compliance requirements.
Process Improvement & Compliance
- Assist in developing and improving contract management processes, templates, and standard operating procedures.
- Support compliance with corporate governance, regulatory requirements, and internal contracting policies.
- Identify opportunities to improve contract workflows and operational efficiencies.
Required Qualifications
- Bachelor's degree in Business Administration, Legal Studies, Paralegal Studies, Finance, or a related field.
- 3–6 years of experience in contract administration, contract management, legal operations, procurement, or commercial contracting.
- Experience reviewing, redlining, and negotiating commercial agreements.
- Strong understanding of contract structure, legal terminology, and commercial risk.
- Excellent written and verbal communication skills.
- Strong organizational skills with the ability to manage multiple contracts simultaneously.
- Proficiency in Microsoft Word and Microsoft Office Suite.
Preferred Qualifications
- Experience supporting an in-house legal department, law firm, or consulting organization.
- Familiarity with Master Services Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), Professional Services Agreements (PSAs), Vendor Agreements, and Procurement Contracts.
- Experience using Contract Lifecycle Management (CLM) systems.
