Major, Lindsey & Africa’s corporate client is a legal department for a collection of innovative companies built to power digital commerce through data-driven insights and cutting-edge technology. They are seeking an Interim Commercial Contracts Attorney for one of the portfolio company teams.
Position Title: Commercial Contracts Attorney for PortCo (SaaS)
Company: Portfolio Company providing proprietary technology and global marketing solutions
Location: Hybrid - Dallas, TX
Key Responsibilities:
- Contract Drafting & Negotiation: Draft, review, and negotiate a broad range of commercial agreements, including SaaS agreements, SOWs, simple DPAs, vendor contracts, and more.
- Risk Management: Provide practical, business-oriented legal guidance while identifying and mitigating legal and operational risks.
- Cross-Functional Collaboration: Partner with Sales, Customer Success, Product, Security, Finance, and Compliance teams throughout the contract lifecycle.
- Template & Process Development: Support the AGC in the creation and refinement of contract templates, playbooks, and processes to drive consistency and efficiency.
- Legal Issue Guidance: Advise on key issues such as indemnification, liability limitations, intellectual property, licensing, and regulatory requirements.
- CLM Optimization: Give feedback that adds to the enhancement of contract lifecycle management (CLM) processes and tools.
- Industry Knowledge: Stay current on contracting best practices, SaaS trends, and evolving legal standards.
Qualifications:
- Active Law License in good standing in any U.S. State
- 4–6 years in commercial contracting, including SaaS and simple DPA agreements, preferably with in-house experience.
- Demonstrating understanding of SaaS business models, intellectual property, and data privacy considerations.
- Demonstrated experience w/ contract lifecycle management (CLM) tools and process optimization.
