OVERVIEW OF THE ROLE
MDP is seeking a skilled attorney to join the firm’s Legal and Compliance Team as a Corporate Attorney, reporting to the Associate General Counsel / Chief Compliance Officer. The Attorney will support a broad range of legal and compliance matters across the firm and will work closely with various MDP teams including the deal professionals, Business Development, Capital Markets, Accounting & Finance, Human Resources and IT.
RESPONSIBILITIES OF THE ROLE
The successful candidate will support a broad range of the firm’s various legal and compliance needs, including assisting with fundraising and related documentation, including partnership agreements, side letters, General Partner (“GP”) documents, and registration filings; supporting fund and GP related credit facilities; reviewing acquisition bid documents and transfer agreements; maintaining and organizing precedent documentation; coordinating litigation matters; and assisting the firm’s CCO with SEC compliance requirements, including the preparation and review of FINRA broker dealer and Investment Adviser and other regulatory filings.
Key Responsibilities Include:
- Provide legal support on FINRA Broker Dealer and SEC Investment Adviser compliance matters and related regulatory requirements
- Draft, review and manage MDP’s confidentiality agreements, joinders, access letters, investment bank engagement letters, capital market fee letters, consulting agreements, recruiting agreements, SOWs, license agreements, and other general contracts for the firm
- Prepare and coordinate responses to investor due diligence questionnaires
- Assist with regulatory examinations and inquiries
- Support the firm’s fundraising and co-investment process, including drafting and revising fund and GP partnership agreements, side letters, MFN elections and related disclosures.
- Manage side letter process, including managing MDP’s obligations and coordinating periodic LPAC disclosures
- Assist in the preparation and review of HSR filings, FCA filings and other portfolio company-related regulatory filings, including change of control applications
- Support review of legal diligence findings in connection with acquisitions and assist in tracking and implementing post acquisition legal recommendations
- Track legislative and regulatory developments and assist in implementing updates related to AML, data privacy, employment matters, regulatory reporting, and other applicable legal frameworks
- Maintain and organize contract precedents; create and maintain standardized templates and form documents
- Manage law firm billing, invoice review, and outside counsel fee tracking, including maintaining related protocols and guidelines
- Provide legal training to new investment professionals, including Associates on MDP’s legal processes and related requirements
EXPERIENCE AND QUALIFICATIONS
The ideal candidate will have the following skills, qualifications, or experience:
- Four (4) to five (5) years of experience in corporate law, with a focus on M&A or other private equity transactions, at a top tier law firm.
- Experience with private equity, the Securities Act of 1933 and Securities Exchange Act of 1934 and/or the Investment Advisers Act of 1940 preferred.
- Bachelor’s degree and Juris Doctor (JD) degree, as well as admission to the Illinois Bar in good standing.
- Be a bright and thoughtful self-starter with an ability to multi-task, managing concurrent initiatives involving multiple stakeholders within a fast-paced, high-performing environment.
- Exceptional attention to detail and organizational skills.
- Highly self-motivated with a dedicated work ethic and courage of conviction
- Ability to effectively prioritize and execute in a collaborative team environment; skilled at building effective, trust-based relationships with senior leaders.
- Excellent communication skills, both written and verbal.
