Lawyers on Demand, a Consilio company, is seeking an experienced Corporate Paralegal for a part-time, remote assignment for one of our prestigious corporate clients in Brooklyn, NY. This is a part-time role, working 10 - 20 per week. This is a 3-6 month contract that could become temporary to hire for right candidate.Key Responsibilities:Supporting the General Counsel, the Corporate Paralegal will perform the following functions with a high level of self-direction:Provide support to board and committee meetings, including drafting, organizing, and maintaining accurate board and committee minutes, preparing presentations, and ensuring timely and confidential handling of board materials.Conduct contract management lifecycle processes from initial request to termination by updating and expanding existing processes and preparing and providing staff training, as appropriate.Ensure robust systems are in place to track key contract items such as deadlines, renewals, terminations, and compliance requirements.Drafting, review, and execution of standard contracts from a template—including vendor, service, consulting, and confidentiality agreements—escalating complex matters to internal counsel when appropriate and ensuring compliance with organizational policies.Maintaining records and assisting in the formation, qualification, and dissolution for multiple entities across multiple jurisdictions.Prepare and ensure accurate and timely corporate filings, including updates, annual reports, state and local business registrations, and other necessary licenses and registrations, to maintain good standing for all entities across all jurisdictions.Assist in corporate and financial transactions, including drafting ancillary documents, managing due diligence, and coordinating closings.Identify, track, and monitor completion of organizational contract and grant compliance requirements to support accountability and reporting.Oversee follow-up, resolution, and reporting of internal audit action items and other risk mitigations through completion.Maintain and update department policies and procedures, ensuring required policies are in place; recommend and lead the development of new policies and process improvements as needed to strengthen department compliance and operational efficiency.Provide administrative support to the department, including document management, scheduling, and coordination of departmental activities.Develop guidance, training materials, and tools for staff on legal, governance, and compliance matters.Research relevant topics and monitor and advise on changes in pertinent laws and regulations, providing recommendations to leadership on potential organizational impacts.Qualifications:Bachelor’s degree preferred3 - 5 years corporate paralegal experience in an in-house corporate legal department.2 - 5 years of experience in contract lifecycle management.Knowledge of nonprofits, financial institutions, and/or affordable housing/economic development programs is a plus.Strong ability to exercise independent judgment and make decisions with minimal supervision.Excellent time management, project management, organizational skills, and attention to detail.Outstanding written and oral communication skills, with ability to convey complex concepts clearly.Demonstrated ability to work collaboratively with cross-functional teams.High degree of professionalism and integrity.Proficiency in contract lifecycle, document management, and legal research tools, as well as Microsoft Office Suite.LOD is proud to be an equal opportunity employer.
