A reputable chemical manufacturer is seeking a Securities Counsel to join their legal team. This role will be responsible for overseeing the company's compliance with securities laws and regulations, managing public company reporting obligations, and advising on corporate governance and investor relations matters.Key Responsibilities:Ensure compliance with all applicable securities laws, including the Securities Act of 1933 and the Securities Exchange Act of 1934.Prepare and review SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 filings, and registration statements.Advise on disclosure obligations, earnings releases, investor presentations, and other public communications.Support the company's annual meeting of shareholders, including proxy preparation and shareholder engagement.Provide legal guidance on corporate governance matters, including board and committee support.Monitor regulatory developments and advise on their potential impact on the company.Collaborate with Finance, Investor Relations, and Communications teams to ensure consistent and compliant messaging.Assist with capital markets transactions, including debt and equity offerings.Support ESG disclosures and sustainability reporting initiatives.Manage relationships with external counsel and regulatory bodies as needed.Qualifications:J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.5 years of relevant legal experience, with a strong focus on securities law and public company reporting (in-house or law firm experience)Deep understanding of SEC regulations, NYSE/Nasdaq rules, and corporate governance best practices
