Job Overview
A premiere Global Bank is in search of strong attorney to continue the expansion of its growing legal presence in Dallas, TX. This role will support the U.S. Legal Department by providing day-to-day legal guidance on a broad range of matters across multiple business units and operations, with a primary focus on commercial contracts, outsourcing, and technology-related services. Key Responsibilities
- Draft, review, and negotiate a variety of commercial and procurement agreements, including master services agreements, software licenses, business process outsourcing agreements, market data agreements, and SaaS contracts.
- Advise on complex issues during contract negotiations, such as intellectual property protections, cybersecurity, data privacy, artificial intelligence, and regulatory compliance within the financial services sector.
- Review and negotiate non-disclosure agreements for various business lines and corporate functions.
- Assist with risk assessments and due diligence of third-party vendors, including advising on regulatory developments and analyzing contractual provisions.
- Draft and structure intragroup agreements between the organization and its affiliates.
- Collaborate with cross-functional teams (e.g., Procurement, Risk Management, Compliance) and senior leadership to provide legal guidance on critical operational and strategic initiatives.
- Conduct legal research and contribute to the development and improvement of template agreements, clause libraries, negotiation guidelines, and commercial playbooks.
- Monitor regulatory changes, industry trends, and best practices relevant to the organization's operations.
- Manage relationships with external counsel and oversee legal costs and invoicing.
- Apply risk management principles in daily activities and decision-making.
- Demonstrate adaptability and willingness to develop expertise in new practice areas.
- Ensure compliance with organizational values, code of conduct, and regulatory obligations, including operational, compliance, sanctions, AML, and conduct risk requirements.
Qualifications
- Juris Doctor (J.D.) and licensed attorney in good standing, authorized to practice law in the state/jurisdiction where the position is based.
- Minimum of 3 years of relevant legal experience.
- Strong knowledge of vendor agreements, licensing agreements, SaaS agreements, engagement letters, NDAs, market data agreements, and similar documents.
- Familiarity with software licensing, intellectual property, data privacy, artificial intelligence, and cybersecurity considerations in third-party agreements within the financial services industry.
Salary : $150,000 - $185,000
