Director - Associate General Counsel, Registered Funds ('40 Act)
Location: New York, NY
Base Salary: $250,000 - $300,000
Overview:
We are seeking an experienced Associate General Counsel to join our legal team at the Director level, focusing on registered investment funds under the Investment Company Act of 1940. This role offers an opportunity to provide strategic legal guidance for a diverse suite of products and collaborate closely with senior leadership across the organization.
- Advise on all legal aspects of registered funds, including compliance with the Investment Company Act of 1940, Securities Act of 1933, and related SEC regulations.
- Draft, review, and negotiate fund documentation, including registration statements, prospectuses, shareholder reports, and board materials.
- Provide counsel on governance matters, board oversight, and fiduciary obligations.
- Partner with internal stakeholders on product development, regulatory filings, and operational matters.
- Monitor regulatory developments and assess their impact on existing and new products.
- Manage relationships with external counsel and service providers to ensure timely and cost-effective delivery of legal services.
- J.D. degree from an accredited law school; admission to the bar in good standing.
- 6 years of experience in registered funds and '40 Act matters, ideally within an asset management firm or a top-tier law firm.
- Strong knowledge of U.S. securities laws and regulations applicable to mutual funds, ETFs, and other registered products.
- Excellent drafting, negotiation, and communication skills.
- Ability to work independently and collaboratively in a fast-paced environment.
