General Counsel (New York, NY): Our client is a leading hedge fund with over 5b in AUM is seeking a General Counsel. This is an opportunity to join a well-established hedge fund in a senior legal leadership role. This is a broad seat with meaningful exposure to senior leadership, fund structuring, trading documentation, corporate governance, regulatory matters, compliance, litigation, outside counsel management, and broader firm management.

Key Responsibilities
- Serve as a senior legal partner to the firm’s leadership team and become actively involved in broader operational and firm management matters
- Oversee fund governing documents, fund and investment-level structuring, fund closing processes, investor subscription materials, and side letter documentation
- Draft and negotiate trading and counterparty agreements
- Develop and maintain firm-wide legal documentation standards across contracts and fund investments
- Advise senior leadership on litigation, regulatory, governance, transactional, and general legal matters
- Manage relationships with outside counsel across relevant jurisdictions
- Oversee fund corporate governance matters, including interaction with fund directors and quarterly board meetings
- Handle entity formation, liquidation, dissolution, corporate governance documentation, notices, resolutions, and related matters
- Work with senior management on insurance, intellectual property, data privacy, and employment-related matters
- Partner with compliance on regulatory exams, MNPI analysis, conflicts of interest, and related regulatory matters
Ideal Background
- 15 years of experience in a hedge fund legal department or hedge fund/private funds practice at a law firm
- Strong knowledge of the Investment Advisers Act of 1940 and rules applicable to registered investment advisers
- Familiarity with FCA, HK SFC, CFTC, and NFA requirements
- Strong drafting, writing, communication, and judgment skills
- Ability to operate as a true business partner to senior leadership
Salary : $200,000 - $300,000
