VP, Transaction Counsel (temp to perm)

Korn Ferry is recruiting a VP, Transaction Counsel for a life insurance and reinsurance organization with an active acquisition business. This attorney will work directly with the Business Development deal team, taking substantial ownership of transaction drafting, legal diligence, risk assessment and execution. The role suits someone who enjoys being close to commercial decisions and can move between strategic advice and hands-on document work.

The position begins as a full-time contract through Korn Ferry, with anticipated conversion to a direct-hire role within approximately three to six months. Conversion may occur earlier.

Location and schedule: Onsite in Norwalk, Connecticut. Forty hours per week, Monday through Friday, during standard Eastern business hours.

• Draft, review and negotiate complex acquisition and reinsurance agreements, including coinsurance agreements, master transaction agreements and related services and transition agreements.
• Lead legal diligence by reviewing materials, developing questions for management, identifying issues and translating findings into contract terms and practical risk recommendations.
• Manage legal workstreams across multiple concurrent transactions, from early diligence through negotiation and execution.
• Partner with Business Development, actuarial, operations, risk, finance and investment teams to assess transaction risks and support approvals.
• Present material legal and regulatory issues to transaction stakeholders and risk committees.
• Coordinate external counsel and assist with transaction-related regulatory filings and interactions.
• Develop templates and playbooks that support efficient deal execution.
  
  

• J.D. from an accredited law school and active bar membership in good standing.
• At least six years of relevant transactional legal experience.
• Direct experience with life insurance and/or reinsurance transactions.
• Exceptional drafting ability and experience negotiating complex transaction agreements.
• Familiarity with life insurance products and the regulatory considerations affecting insurance transactions.
• Strong commercial judgment, comfort working directly with deal teams and the ability to operate with significant autonomy in a fast-paced environment.

Experience with in-force block acquisitions, assumption reinsurance, independent negotiation leadership or presenting transaction risks to senior decision-makers is especially valuable. Candidates may come from an in-house transaction role or an insurance-focused law firm practice.

Interim engagement: Target compensation of $115-$120 per hour on W-2, with access to medical benefits, paid time off and a 401(k). Additionally able to work through the individual's own LLC if preferred.
