Overview
The EC/VC & Tax Associate at our client will serve as a corporate attorney advising
emerging companies, founders, and investors on venture capital financings, mergers and
acquisitions, and general corporate matters, while also providing transactional tax
structuring and planning support. This hybrid role is ideal for an experienced EC/VC
attorney with meaningful tax experience who can independently handle tax-related aspects
of transactions in collaboration with the broader deal team.
Key Responsibilities
• Draft, review, negotiate complex transaction documents, and lead deal execution.
• Support clients with general corporate matters, including entity formation,
governance, capitalization, and regulatory compliance.
• Provide transactional tax structuring and planning support for equity financings,
convertible instruments (SAFEs, convertible notes), and M&A transactions.
• Draft and review tax provisions in transaction documents, including purchase
agreements, operating agreements, stockholder agreements, and financing
documents.
• Collaborate with partners, associates, paralegals, and local counsel across U.S.
jurisdictions and internationally.
• Conduct legal research and risk analysis to provide thoughtful, strategic guidance to
clients.
• Guide corporate clients and ensure compliance with rules and regulations.
• Structure, draft and review contracts and other legal documents.
• Lead client communications, including calls and written updates, to manage
timelines, expectations, and deliverables.
• Negotiate effectively and close deals in a timely and efficient manner.
Qualifications
• J.D. from an accredited law school
• Admission to a U.S. state bar and in good standing
• Minimum 6 years of experience as a corporate associate or in a similar role
• Prior experience:
o Representing companies and investors in equity financing transactions,
including convertible notes and bridge financings, SAFEs, and Series Seed
through Series E equity rounds;
o Tax structuring and planning for mergers and acquisitions (buy-side and
sell-side), including asset and stock transactions
o Supporting entity formation, reorganizations, and restructurings from a tax
perspective
o Drafting and negotiating tax provisions in transaction documents
• Familiarity with cross-border tax considerations for U.S.-based companies and
investors is a plus
• Ability to translate complex tax issues into practical, business-focused guidance for
clients
