Key Responsibilities
- Deal Execution: Structure mergers, stock sales, asset purchases, and strategic investments.
- Drafting & Negotiation: Prepare purchase agreements, letters of intent, and disclosure schedules.
- Regulatory Compliance: Manage rules like Regulation W, the Federal Reserve Control Rule, and Volcker constraints.
- Due Diligence: Review corporate liabilities, third-party contracts, and potential risks.
- Governance Counsel: Advise executive boards on fiduciary duties and transaction impacts.
Role Description
The Banking Attorney will provide legal counsel on banking and financial services matters, including regulatory compliance, lending transactions, and risk management. Day-to-day responsibilities include drafting and reviewing contracts and loan documents, advising on banking regulations, conducting legal research, and preparing memoranda and opinions for internal and client use. The Attorney will negotiate terms with counterparties, support labor and employment law issues related to financial institutions when needed, and collaborate with firm leadership to develop strategies that align with client objectives.
Qualifications
- Experience: Minimum of 10 years practicing corporate or transactional law.
- Education & License: Active law license in good standing and a J.D. degree.
- Skills: Strong contract drafting, risk management, and executive communication.
- Background: Prior experience at a major law firm or financial institution legal department
- Strong foundation in Law, with experience in banking and financial services regulation.
- Demonstrated ability to provide clear, practical Legal Advice to institutional and business clients.
- Proficiency in Research to interpret statutes, regulations, and case law relevant to banking and labor matters.
- Experience in Labor and Employment Law as it relates to financial institutions and regulated workplaces.
- Effective Negotiation skills for contracts, loan agreements, and regulatory settlements.
- Excellent written and oral communication skills, with attention to detail in drafting and reviewing documents.
- Ability to manage multiple matters simultaneously, and meet deadlines in a fast-paced environment.
- Prior experience with banks, credit unions, or other financial institutions is strongly preferred.
