Position Overview:
We are looking for a talented individual to join our growing law firm that will assist with various legal and administrative tasks. The position is ideal for someone who has 1-3 years of experience in the legal field and has an interest in working with startups. We seek candidates who are highly organized, detail-oriented, and the ability to take ownership of any given task or responsibility. All J&O team members must possess an understanding of J&O’s unique service model which places an emphasis on being flexible, taking on any task as needed, and being a team player as we support our internal team and external clients. The position is a full-time in-person position at our NYC or Boca Raton, FL office. J&O is an extremely close-knit law firm, and we pride ourselves on being an amazing place to work. There is room for growth and training, so we’re looking for someone who wants to be an integral part of our team for the long term.
Role Expectations include but are not limited to the following:
• Work with attorneys and paralegal(s) on all matters regarding client corporate governance, including preparation of board and stockholder approvals, securities filings, and equity-related documents;
• Corporate records and project management (specifically, maintaining and saving documents, tracking deadlines and open client matters, and coordinating signatures via DocuSign or similar electronic signature platforms);
• Stock option plan implementation and administration (most often in Carta - a cap table management platform);
• Company formations and any necessary state filings;
• Venture capital financings, including diligence review, preparation of ancillary documents, and signature tracking;
• Maintain capitalization tables in Excel and/or an electronic capitalization platform (e.g. Carta), including stock, options, and/or convertible equity, etc.), including the preparation of stock agreements, ledgers, and stock transfer documentation;
• Manage internal and external deadlines through responsiveness on slack/email/asana and clear setting of expectations with team and clients on turnaround times; and
• Various administrative tasks - scheduling meetings and calls, event preparation, office maintenance, document management, etc.
The ideal candidate will have the following:
• Excellent academic credentials;
• Experience working and communicating directly with attorneys and other team members, clients, particularly founders of early stage companies and start-ups;
• Ability to work collaboratively with colleagues across multiple practice areas and support all team members in the firm;
• Strong organizational skills to prioritize and manage multiple time-sensitive projects simultaneously;
• Exceptional proofreading and editing skills; and
• Self-starter and ability to work independently without oversight.
Salary range:
Depending upon experience, the salary range will be $85,000 - $100,000 (depending upon experience) with potential year end bonus based on company revenue targets.
