Key Responsibilities: Assist in the formation, maintenance, and dissolution of corporate entities Manage transaction closings and create associated closing materials Compile legal opinion letters and gather supporting documentation Create and submit corporate governance and securities-related filings Issue share certificates and track equity ownership tables and stock option documentation Investigate state securities law compliance matters and submit necessary state-level filings Provide backup support across the corporate department as neededWe are seeking paralegals with 5 years of transactional experience in private equity, capital markets, and/or mergers & acquisitions.
