Associate Underwriter – Representations & Warranties
Location: New York, NY (Hybrid)
A leading Managing General Underwriter (MGU) specializing in Representations & Warranties (R&W) insurance is seeking an Associate Underwriter to join its growing Transactional Risk team. This is a high-visibility opportunity to work alongside senior underwriters and directly support private equity sponsors, strategic buyers, and their advisors on complex M&A transactions. This role is ideal for a detail-oriented professional with strong analytical skills and a demonstrated interest in M&A, transactional insurance, or financial risk assessment.
Key Responsibilities
- Support underwriting of Representations & Warranties insurance policies for domestic and cross-border M&A transactions
- Review purchase agreements, disclosure schedules, diligence reports, and financial statements to assess transaction risk
- Assist in drafting underwriting memos and preparing materials for internal review and approval
- Coordinate underwriting diligence calls with buyers, sellers, legal counsel, and brokers
- Analyze transaction structures, indemnity frameworks, and key risk exposures
- Support negotiation of policy terms, exclusions, and coverage enhancements
- Collaborate with brokers, legal advisors, and internal underwriting leadership throughout the deal lifecycle
- Track deal pipeline activity and maintain organized underwriting documentation
Qualifications
- 2–4 years of relevant experience in M&A, transactional insurance, private equity, investment banking, accounting, or corporate law
- Exposure to M&A transactions, due diligence, or financial analysis
- Experience at a law firm, investment bank, accounting firm, or underwriter
- Strong analytical and critical thinking skills
- Ability to synthesize complex information and identify key risks
- Excellent written and verbal communication skills
- High attention to detail and ability to manage multiple transactions simultaneously
