A full-service, mid-sized US law firm with offices across New Jersey and New York is growing its Tax practice and is hiring an Associate with at least 4 years of experience. You can be based in either Hackensack or New York, with hybrid working.
What the team does
The tax group advises businesses, investment funds, real estate owners and high-net-worth individuals on the tax side of their transactions and structures. It works closely with the firm's corporate, real estate and funds teams, so the workload is varied and highly transactional.
What you'll do
→ Advise on the federal, state and local tax aspects of M&A, joint ventures and restructurings
→ Structure and document partnerships and LLCs, including partnership allocations and waterfall provisions
→ Handle the tax aspects of real estate transactions, including 1031 exchanges and REIT matters
→ Advise fund sponsors and investors on fund formation and investment structures
→ Draft tax provisions in operating agreements and transaction documents
→ Prepare research memoranda and present advice directly to clients
What you'll need
- JD and 4 years of transactional tax experience at a law firm or Big Four practice
- An LL.M. in Taxation is preferred but not required
- Admission to the New Jersey and/or New York Bar
- Strong partnership tax knowledge
- Excellent analytical and written communication skills
