What are the responsibilities and job description for the Corporate Paralegal position at Innovative Driven?
Innovative Driven is seeking a Corporate Paralegal to join the team in the NYC office of one of our most well-respected law firm clients! This paralegal will play a pivotal role in supporting the firm's healthcare practice and will facilitate seamless operations through various responsibilities.
The firm is flexible for a hybrid arrangement after the first 90 days in the office.
Responsibilities:
- Preparation and filing of corporate documents, including UCC Financing Statements, Articles of Incorporation/Organization, bylaws, operating agreements, and reports.
- Support attorneys with healthcare mergers and acquisitions, joint ventures, affiliations, corporate restructurings, and dissolutions in compliance with healthcare regulations.
- Conduct due diligence for corporate healthcare transactions.
- Assist with healthcare entity formations, state licensing, and regulatory filings.
- Coordinate with clients, attorneys, and third parties to ensure timely processing of documents.
- Prepare and review healthcare-related contracts.
- Conduct and compile legal research related to healthcare compliance and regulations.
- Assist with client correspondence, notarization, and document execution.
- Document preparation, presentations, and case management.
- Maintain filing systems and handle confidential healthcare compliance information.
Qualifications:
- Bachelor’s degree or Paralegal certificate from an accredited program.
- Minimum of five years of experience as a corporate paralegal, preferably in a law firm.
- Experience in corporate M&A and healthcare transactions (including contracts, corporate entities, and regulatory compliance).
- Proficiency in Microsoft 365, Adobe, and document management software.
- Excellent written and verbal communication skills.
- Ability to prioritize tasks and work effectively to meet deadlines.
- Ability to collaborate in a team and with attorneys and support staff.
- Proven ability to handle confidential healthcare compliance information.
Salary : $85,000 - $110,000
