Corporate Development Associate
Location: Miami Beach, Fl ONSITE ROLE with Development Team

BASE of $80-150K, plus significant participation in equity. Everyone on the team is already a millionaire. We will be flexible with candidates who have above-average PE experience in the industries of Defense, Defense Tech, Space, Nuclear, and rare earth minerals.
Overview
As a key contributor to our PE firm’s Corporate Development team, you will deliver strategic growth through acquisitions and equity investments in small-cap U.S. companies. This role is ideal for someone with strong capital markets knowledge, deal execution experience, and a passion for PE value creation, not venture capital. Your target: accelerating portfolio growth through restructuring, public listings (IPOs), and transformational M&A.
Key Responsibilities
Deal Sourcing & Pipeline Development
- Proactively identify high-potential acquisition targets aligned with our sector theses and investment criteria.
- Cultivate strategic relationships with business owners, brokers, industry executives, and advisors to source deal flow.
- Focus on outbound outreach in defense, advanced technology, AI, space, nuclear, and raw earth minerals.
- Leverage industry databases, trade shows, and networking initiatives.
Due Diligence & Deal Execution
- Lead and support comprehensive due diligence—covering financial, operational, legal, and strategic dimensions.
- Build and maintain detailed financial models (DCF, LBO, comps) to evaluate valuation and returns.
- Contribute to deal structuring, term negotiations, and closing activities.
- Work closely with internal teams (finance, legal, operations) and external advisors.
Post‑Acquisition Integration
- Help develop and implement post-acquisition integration plans to drive synergies and operational improvements.
Market Intelligence & Strategy
- Conduct rigorous market research and competitive landscapes analysis to support strategic decision-making.
- Deliver insights on sector trends, risks, and opportunities for portfolio growth and acquisition rationale.
Financial Analysis & Investor Support
- Drive complex financial and operational modeling for valuation, deal structuring, and forecasting.
- Prepare investor updates, board materials, and executive presentations to inform stakeholders and LPs.
Qualifications & Experience
- Experience: 3 years in private equity, corporate development, investment banking, consulting, or restructuring-related M&A roles.
- Financial Expertise: Advanced modeling, valuation, and financial statement analysis skills.
- Market & Industry Knowledge: Deep understanding of capital markets, current trends, and sector-specific dynamics.
- Deal Mindset: Strong negotiation skills, legal familiarity, and ability to navigate compliance and transaction structure.
- Project Leadership: Ability to manage multiple live deals, coordinate cross-functional due diligence, and drive towards execution.
- Communication: Clear, polished presentation skills and the ability to convey strategic insights to senior leadership.
- Personal Traits: Proactive, entrepreneurial, detail-oriented, and comfortable operating in high-performing teams.
