What are the responsibilities and job description for the Deputy General Counsel position at Hertner, Block & Bowser, Inc.?
This position will report to the Company’s GC and serve as the lead lawyer for the company’s Device Protection business.
The attorney will provide advice and guidance to leadership on both the legal and business side of the Company. Experience with insurance regulatory law, transactional/business law, and commercial contracts related to the device protection and wireless industries.
This position will be located near Dallas, TX
Responsibilities:
· Providing commercial and legal counseling related to the sale, delivery and operation of device protection programs globally;
· Assisting senior business leaders regarding contractual matters and other corporate and commercial legal services to ensure the company’s global business objectives are met and risks managed appropriately;
· Interaction with the Company’s senior leadership team as well as other attorneys to address complex business and legal issues related to transactional matters, crucial commercial contracts, corporate governance and other general corporate matters;
· Negotiating, drafting and advising on sales, purchasing and distribution agreements, underwriting agreements, reinsurance agreements, and other commercial matters in support of device protection team; and
· Developing a thorough understanding of and familiarity with the operation of the company’s business, products, markets, facilities and customers
Qualifications:
- Experience in device protection, insurance regulatory, privacy and cybersecurity matters.
- Significant international work experience.
- 7 years of corporate legal experience, as well as general corporate experience with a focus on business law, negotiation of complex commercial contracts and leading and handling sophisticated commercial transactions.
- Current license to practice law;
- Substantial contract drafting and negotiation experience in international/global setting, including handling sales, purchasing and distribution agreements;
Preferred qualifications - knowledge, skills and experience:
- A combination of prior in-house and top tier law firm experience;
- Experience with mergers, acquisitions, divestitures and corporate governance matters; and
- Prior interaction with Boards of Directors and other senior executive leaders, serving as a counselor and advisor on key legal issues and strategy.
