- Hybrid Position- Corporate Office - Conshohocken, PA *
Hatch’s Fintech, Transactions, and Regulatory Counsel will lead commercial and program legal execution across Hatch’s fintech portfolio, negotiate complex tri-party and structured finance agreements with private credit partners, and manage key outside counsel relationships. This individual will play a central role in how Hatch structures, governs, and scales its banking platform — enabling our partners to remain innovative while ensuring that they also are compliant.
Key Responsibilities
Program & Commercial Transactions
- Serving as Hatch’s primary legal architect for fintech partnership structures, the incumbent will lead drafting, negotiation, and amendment of program agreements with fintech platforms across lending, card, and embedded finance.
- Negotiate tri-party agreements among Hatch, fintech platforms, and private markets investors (forward flows, capital partnerships, structured finance).
- Structure commercial terms and risk allocation in partnership with Business Development, Operations, Risk, and Compliance.
- Serve as primary internal counsel for day-to-day legal questions currently handled by outside counsel and shared services resources.
- Provide guidance on regulatory considerations impacting new product constructs, onboarding frameworks, and customer terms.
- Assist in drafting and negotiating customer-facing agreements and disclosures including for compliance with federal and state consumer and small business lending, payment, and licensing laws.
- Support regulatory exam preparation and related legal deliverables alongside Firstrust Legal and Hatch Risk & Compliance.
- Collaborate cross-functionally with Business Development, Operations, Risk, Compliance, and Parent
- Lead negotiation and lifecycle management of vendor MSAs, NDAs, SOWs, and other commercial agreements.
- Build and maintain template libraries, clause banks, term sheets, and playbooks to accelerate deal execution and reduce reliance on outside counsel to ensure that commercial goals, operational realities, and regulatory expectations are balanced in every partnership and transaction.
- Manage outside counsel for specialized matters including regulatory opinions, novel structuring questions, litigation, and program agreements within established budget
- Work in lockstep with Firstrust counsel to assess external counsel engagement is appropriate.
While performing the essential functions of this position, the incumbent is subject to sedentary work for extended periods of time. Some mobility in order to access files and attend meetings is necessary. The incumbent must be able to operate a computer terminal and office equipment and communicate and exchange information to internal and external customers.

- Hybrid work schedule in Corporate Office (Conshohocken PA), requiring regular in-office presence on designated days with occasional travel to conferences and Third-Party Relationships, (TPR) headquarters.
- Juris Doctor degree from an accredited law school; active bar license in good standing required
- ~6–10 years of legal experience at a law firm and/or in-house, ideally in fintech, financial services transactions, or financial regulatory practice
- Strong ability and execution in drafting and closing complex commercial agreements independently
- Experience working with, or around: lending, card issuing, payments/money movement, structured finance, or forward flow capital partnerships preferred or required
- Demonstrated ability to operate as a business partner and facilitate change.
- Demonstrated experience to create structure in a fast-moving environment
