We are seeking a Contracts Counsel to serve as a critical member of the Risk and External Affairs team, reporting directly to the Chief Legal and Risk Officer. This role is responsible for legal review, drafting, and negotiation of contracts to protect the organization's interests while supporting business growth objectives. The position combines legal expertise with construction industry awareness to ensure all contractual commitments align with legal standards, risk tolerance, and operational capabilities.

Key Responsibilities
Contract Analysis, Review and Negotiation
- Draft, review, and negotiate construction contracts, subcontracts, and related agreements
- Provide legal analysis of contractual risks including liability exposure, payment terms, insurance requirements, and performance obligations
- Lead contract redlining and negotiations with customers, subcontractors, and partners
- Assess indemnification clauses, limitation of liability provisions, and dispute resolution mechanisms
- Ensure contract language aligns with company standards, legal requirements, and risk management policies
- Collaborate with external counsel on complex or high-risk matters as needed
- Identify, assess, and advise on legal and commercial risks associated with contracts and projects
- Recommend risk mitigation strategies that balance legal protection with business objectives
- Support high-risk project reviews and mitigation strategies
- Advise project teams on contractual rights, obligations, and dispute avoidance strategies
- Assist with claims strategy, notices, and dispute-related documentation
- Work closely with preconstruction, project management, and operations teams during contract negotiations
- Provide practical legal guidance to both technical and non-technical stakeholders
- Support the CLRO in developing legal and contract risk management policies
- Collaborate with insurance and external legal teams to ensure proper risk transfer mechanisms
- Develop and maintain standard contract templates, playbooks, and negotiation guidelines
- Create and refine contract review processes and workflows to improve efficiency and consistency
- Support development of company standard terms and preferred contract language
- Contribute to training programs for project managers on contract interpretation, risk identification, and legal best practices
- Monitor legal and industry trends impacting construction contracts and risk allocation

Required Qualifications
- Juris Doctor (JD) from an accredited law school
- Licensed to practice law (or ability to obtain licensure in applicable jurisdiction within a reasonable timeframe)
- 2–5 years of legal experience (law firm or in-house), preferably with exposure to contracts or construction law
- Strong legal drafting, issue-spotting, and analytical skills
- Ability to translate complex legal concepts into practical business guidance
- Excellent written and verbal communication skills
- Strong organizational skills and attention to detail
- Ability to manage multiple priorities in a fast-paced environment
- Experience with construction, engineering, or infrastructure contracts
- Familiarity with subcontract agreements and project-based contracting
- Exposure to claims, dispute resolution, or litigation support
- Understanding of insurance concepts and risk transfer mechanisms
- Experience working with cross-functional business teams
- Interest in developing in-house counsel career within construction or specialty contracting
