Key Responsibilities
- Lead and manage transactions involving:
- Mergers & acquisitions (M&A)
- Venture capital investments
- Private equity / leveraged buyouts
- Capital markets and securities offerings
- Advise clients on corporate governance and securities law compliance (Forms 10-K, 10-Q, 8-K, proxy statements).
- Provide guidance on public and private offerings of equity and debt securities.
- Partner with colleagues and clients to deliver comprehensive legal solutions.
- Active Missouri Bar license required.
- 5 years of corporate finance/transactional experience.
- Strong academic background.
- Excellent drafting, analytical, leadership, and client service skills.
- Proven ability to manage matters independently.
