Senior Attorney - Commercial
Responsibilities
- In coordination with CLE lawyers, advise internal clients on a wide range of commercial law matters, including contract risk, product liability, and general business issues.
- Draft, review, and negotiate a high volume of commercial agreements, including supply, sales, procurement, services, and other operational contracts, with a focus on manufacturing and automotive industry practices.
- Identify and address key contractual risk areas, including liability, indemnification, warranties, and performance obligations.
- Participate in knowledge sharing and training for business stakeholders on contracting practices and risk awareness.
- Collaborate with cross-functional teams (e.g., procurement, sales, R&D) to ensure contracts align with business objectives and risk tolerance.
- Manage disputes and litigation matters in coordination with CLE lawyers and outside counsel.
- Identify, assess, and address intellectual property-related considerations in commercial agreements, including ownership, licensing, use rights, confidentiality, and related risk areas, in coordination with CLE colleagues as appropriate.
- Support due diligence and provide legal assistance on acquisitions, divestitures, and other corporate transactions, as needed.
- Help develop and improve contract templates, playbooks, and internal processes to enhance efficiency and consistency.
- Juris Doctor (J.D.) from an accredited law school.
- Active admission to practice law before at least one U.S. state bar.
- Four (4) or more years of experience in commercial transactions, general corporate law, or related areas.
- Strong experience drafting and negotiating a broad range of commercial agreements, including supply, sales, procurement, and services agreements.
- Experience identifying and addressing key contractual risk areas, including liability, indemnification, warranties, intellectual property rights, and performance obligations.
- Capacity to review, analyze, and revise legal documents and contracts with a strong understanding of commercial and business considerations and solid drafting skills.
- Strong commercial judgment and practical, business-oriented mindset.
- Excellent negotiation and issue-spotting skills.
- Ability to balance legal risk with business objectives in a fast-paced environment.
- Team player with empathy and sensitivity in collaborating with intercultural and/or interdisciplinary teams.
- Ability to interact with colleagues at all levels in the organization, displaying trustworthiness and reliability.
