Overview
We are seeking a mid-level Private Investment Fund / Investment Management Associate with 3–5 years of experience to join our Investment Management Practice. This role involves direct responsibility for fund formation matters and frequent interaction with fund sponsors and institutional investors.
Key Responsibilities
- Advise fund sponsors on private investment fund formation and structuring
- Draft, review, and negotiate core fund documents, including placement memoranda, partnership or operating agreements, subscription agreements, and side letters
- Manage investor negotiations and respond to institutional investor diligence requests
- Advise on securities laws and regulatory compliance affecting private funds and investment advisers
- Oversee fund launches, closings, and amendments
- Supervise junior associates and paralegals
- Maintain direct client contact and contribute to ongoing client relationships
Skills & Qualifications
- JD from an ABA accredited law school
- 3–5 years of experience in private investment fund formation and investment management
- Working knowledge of fund economics, key fund terms, and securities regulations
- Experience reviewing co-investment documentation preferred
- Strong drafting, negotiation, and project management skills
- Ability to manage multiple matters with minimal supervision
Finn Dixon is based in Stamford, Connecticut and currently maintains a hybrid work environment with candidates generally expected to be in office at least 2 days per week.
