Overview
We are seeking a junior Private Investment Fund / Investment Management Associate with 2–3 years of experience to support fund formation and investment management matters. The ideal candidate will have experience advising private investment fund sponsors and working with institutional investors.
Key Responsibilities
- Assist in the formation of private investment funds, including private equity, hedge funds, and other alternative investment vehicles
- Draft and review core fund documents, including private placement memoranda, partnership or operating agreements, subscription agreements, and side letters
- Support negotiations with investors and review investor-related documentation, including co-investment materials
- Assist with securities law compliance, including exemptions under federal and state securities laws
- Conduct legal research on fund-related regulatory issues
- Coordinate closings and manage fund launch timelines
- Work closely with senior attorneys, clients, and fund administrators
Skills & Qualifications
- JD from an ABA accredited law school
- 2–3 years of experience in private investment fund formation or investment management, preferably at a large law firm or in-house
- Foundational understanding of fund structures, key fund terms, and securities regulations
- Strong drafting, analytical, and organizational skills
- Ability to work efficiently in a deadline-driven environment
Finn Dixon is based in Stamford, Connecticut and currently maintains a hybrid work environment with candidates generally expected to be in office at least 2 days per week.
