Position Summary:
We are seeking a Junior Paralegal to support general corporate matters and transactions. The ideal candidate will have experience assisting with mergers and acquisitions, venture capital financings, corporate governance, securities compliance, and other transactional matters. This position offers the opportunity to work closely with attorneys and clients on a broad range of sophisticated corporate transactions and ongoing corporate maintenance matters.
Job responsibilities/duties may include, but are not limited to:
- Assist with mergers and acquisitions, venture capital financings, and other corporate transactions, including maintaining closing checklists, preparing closing documents, coordinating signature packets, managing execution of transaction documents, compiling fully executed documents, and managing closing and post-closing deliverables.
- Assist with corporate governance matters, including the preparation of board and shareholder consents and minutes, maintenance of corporate records, and equity ownership records.
- Prepare and file entity formation documents, amendments, mergers, dissolutions, and foreign qualifications for corporations, limited liability companies, and partnerships in Delaware and other jurisdictions.
- Prepare resolutions, consents, secretary’s certificates, and closing documents related to mergers and acquisitions and other corporate transactions.
- Prepare stock certificates, stock powers, lost stock affidavits, transmittal letters, and assist with securities compliance matters, including Form D and related federal and state securities filings.
- Assist with legal due diligence reviews, including organization and analysis of corporate records, contracts, and other transaction-related documents.
- Coordinate UCC, lien, and IP searches; draft and file UCC financing statements and amendments; prepare and file IP security agreements and IP assignment filings with the USPTO and Copyright Office.
- Maintain entity minute books, capitalization tables, and stock ledgers for clients.
- Prepare SS-4 applications, W-9 forms, and other organizational and compliance-related filings.
- Assist with conducting background checks of new and potential clients of the firm.
- Perform other responsibilities and projects as assigned.
Required Experience and Skills
- College degree and/or paralegal certificate from an ABA-approved program.
- Experience working on general corporate matters and transactions.
- Proficiency in Microsoft Office applications (Word, Excel, and Outlook).
- Proficiency with legal technology platforms, including document management systems (iManage or comparable platforms) and electronic signature platforms such as DocuSign.
- Strong client service skills and ability to interact professionally with attorneys, clients, governmental agencies, and third-party service providers.
- Experience with capitalization table platforms, such as Carta, a plus.
- Excellent organizational and communication skills.
- Ability to work independently, manage multiple matters and competing priorities, and adapt to changing deadlines in a fast-paced environment.
- Exceptional attention to accuracy and detail.
- Ability to work additional hours as needed to support transaction deadlines and closings.
Finn Dixon is based in Stamford, Connecticut and currently maintains a hybrid work environment, with candidates generally expected to be in the office at least two days per week.
