Essential Job Duties/Responsibilities
- Provide legal counsel, direction and strategic advice to business clients and management at all levels regarding (a) commercial transactions, including transportation and rail negotiations, (b) technology transactions, or (c) real estate transactions
- Structure, draft and negotiate commercial agreements to ensure maximum benefit to the company with minimum exposure to risk
- Provide input to other members of legal department, upon request, with respect to areas of expertise
- Assist leadership in drafting and reviewing policies and procedures within associated area of expertise
- Review internal and external communications related to legal practice areas as needed
- Coordinate and oversee outside counsel matters within area of expertise as necessary to ensure proper and efficient handling of legal matters
- Comply with all applicable laws/regulations, as well as company policies/procedure
- Perform other duties as required
Qualifications
- Juris Doctorate degree from an A.B.A. accredited law school and admission to the Bar plus twelve (12) years’ experience as an attorney with at least three (3) years’ of experience practicing law in area of expertise
- Strong knowledge of contract drafting and negotiation
- Strong organizational skills, time-management and multi-tasking skills
- Excellent written and verbal communication skills
- Experience and ability to use Microsoft office software, including but not limited to Word, Excel and Outlook
- Fast-paced, deadline oriented
- Some travel required, including possible international travel
