This is an opportunity to join Federated Hermes’ Legal Team and provide more senior attorneys support with legal research, drafting legal and board memoranda, fund disclosure, contract review and negotiation, and other investment management matters.
What you will do:
- Research and provide counsel on matters under the Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities and Exchange Act of 1934, and other federal and state securities laws, including, among other things, investment advisory contract-related and product development-related matters;
- Provide legal support for request for proposal (“RFP”) submissions;
- Provide legal support for procurement contracts, including, among other things, non-disclosure agreement reviews and vendor risk management matters;
- Update and/or draft legal memorandum and other materials for fund and corporate board meetings;
- Research, draft, and review fund disclosures, including registration statements, prospectuses, statements of additional information, confidential offering memoranda, or other fund documents and regulatory filings; and
- Monitor and summarize regulatory developments.
What we are looking for:
- Juris doctorate and admittance to practice law in the United States required (preferably Pennsylvania).
- Minimum of 0-1 years of legal experience. Course in Securities Regulation or Investment Management Regulation preferred. Experience with Investment Management Firm or Law Firm working with the Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, and/or Securities Exchange Act of 1940 or related legal or compliance experience preferred but not required.
