You will partner closely with internal stakeholders and subject matter experts to support commercial objectives while ensuring compliance with company policies and applicable regulations.
Key Responsibilities
- Draft, review, and negotiate commercial agreements with state, federal, and private customers in alignment with company policies and approved terms.
- Support a wide range of agreements, including Master Agreements, Purchase and Rental Agreements, SaaS and DaaS agreements, Software Licensing, Support Services, HIPAA/BAA, Data Security, and related amendments.
- Develop and maintain working knowledge of products, customers, and internal policies to effectively guide negotiations.
- Identify, analyze, and clearly communicate technical, operational, legal, and financial risks to enable informed decision-making.
- Summarize transaction-specific issues and escalate concerns to senior stakeholders and legal counsel as appropriate.
- Collaborate cross-functionally with teams such as Regulatory, Risk Management, Accounting, Marketing, and others to support contract templates and continuous improvement initiatives.
- Deliver high-quality work with a strong focus on accuracy, timeliness, and professionalism.
- Licensed attorney with a minimum of 3 years of commercial contracting and negotiation experience, or J.D. with at least 4 years of relevant experience.
- Prior experience in healthcare, med tech, or regulated medical device and software environments strongly preferred.
- Strong knowledge of contract law, healthcare compliance frameworks (including HIPAA), and data protection/security requirements.
- Hands-on experience negotiating SaaS and DaaS agreements and familiarity with subscription-based or service delivery models.
- Demonstrated ability to analyze complex issues, exercise sound judgment, and adapt negotiation strategies in ambiguous or fast-moving situations.
- Excellent written, verbal, and interpersonal communication skills.
- Proficiency in Microsoft Word and Excel; experience with contract management tools is a plus.
Salary : $40 - $43
