Job Description
A global organization is seeking an experienced Senior Legal Analyst – Corporate Governance to join its Legal Department. This role will support a broad range of corporate governance, entity management, compliance, and transactional matters across U.S., Canadian, and Caribbean entities.
The ideal candidate will bring strong corporate governance experience from a corporate legal department or large law firm environment and thrive in a fast-paced, collaborative setting.
Responsibilities
- Manage corporate governance matters for domestic and international entities, including maintaining corporate records, governance documents, minute books, and organizational charts.
- Prepare board and shareholder resolutions, consents, powers of attorney, officer certificates, and related governance documentation.
- Handle entity formations, dissolutions, annual reports, and other state, federal, and international filings.
- Maintain and manage entity management databases, including CSC Navigator and GEMS.
- Support mergers, acquisitions, and other corporate transactions alongside legal leadership and key stakeholders.
- Assist with regulatory and compliance filings, including KYC and UBO reporting.
- Monitor legal and regulatory developments impacting corporate governance and compliance obligations.
- Partner cross-functionally with Finance, Tax, Operations, outside counsel, and regulatory agencies.
- Provide general legal operations and governance support across the organization.
Qualifications
- Bachelor’s degree required.
- ABA Paralegal Certification or equivalent practical experience preferred; CLA certification is a plus.
- 10 years of corporate governance or corporate paralegal experience within a corporate legal department or large law firm.
- Strong knowledge of corporate governance principles, entity management, and regulatory compliance.
- Experience handling multi-jurisdictional entity management and corporate filings.
- Proficiency with entity management systems such as CSC Navigator and GEMS preferred.
- Strong organizational, drafting, project management, and communication skills.
- Ability to manage multiple priorities independently in a fast-paced environment.
