Eden Rose is working with a leading Vault 50 law firm is seeking a talented mid-level associate to join its Investment Funds practice in New York.
This role offers the opportunity to work with premier asset managers and institutional investors on the formation, structuring, and operation of sophisticated private investment funds.
Key Responsibilities
- Advise sponsors on the formation and structuring of private investment funds, including private equity, hedge funds, credit funds, and real estate funds
- Draft and negotiate fund documentation, including limited partnership agreements, subscription agreements, and side letters
- Counsel clients on regulatory and compliance matters, including U.S. securities laws and applicable exemptions
- Support fund sponsors in capital raising activities and investor negotiations
- Work closely with internal practice groups, including tax, regulatory, and transactional teams
Qualifications
- 3 years of relevant experience in investment funds or asset management at a top-tier law firm
- Strong experience with fund formation and sponsor-side representation preferred
- Familiarity with the Investment Advisers Act, Securities Act, and related regulatory frameworks
- Excellent drafting, negotiation, and analytical skills
- Strong academic credentials and attention to detail
- Juris Doctor (JD) and admission to the New York Bar
