Are you a driven capital markets attorney ready to take ownership of sophisticated transactions and work alongside dynamic deal teams? We’re seeking a talented Corporate Associate (2–5 years’ experience) to join a high-performing practice advising issuers and market participants on complex securities matters.

The Role
You will work closely with Partners and senior attorneys on a broad range of capital markets and securities matters, including:
Capital Markets Transactions
- Advising on IPOs (SPAC experience a plus), secondary offerings, PIPEs, registered direct offerings, private placements, resales, and other securities transactions
- Drafting and negotiating registration statements, private placement memoranda, purchase agreements, warrant agreements, convertible notes, and registration rights agreements
- Supporting entity formation and structuring charters, bylaws, LLC agreements, and other organizational documents
- Preparing and reviewing comfort letters, legal opinions, certifications, and diligence materials
- Managing deal execution alongside issuers, investment banks, auditors, and financial advisors
- Liaising with regulators including the SEC, FINRA, and major stock exchanges to obtain necessary approvals and clearances
- Contributing strategically to deal structuring discussions and creative problem-solving to drive transactions to closing
Ongoing Securities & Compliance
- Drafting and reviewing prospectuses, proxy statements, and registration statements
- Preparing public disclosures and securities filings, including Forms 10-K, 10-Q, 8-K, and Section 16 filings
- Supporting compliance documentation for NYSE and NASDAQ filings
- Assisting with regulatory communications and ad hoc securities projects
What We’re Looking For
- Qualified to practice law in New York and in good standing
- 2–5 years of capital markets experience (SPAC experience advantageous)
- Exceptional drafting and analytical skills
- Strong communicator with sound judgment and commercial awareness
- Ability to manage multiple matters in a deadline-driven environment
